Here is the breakdown: TransPerfect Global (TPG) has written a letter accusing Delaware Lawyer, Robert Pincus, of "predatory and gross overbilling" enabled by years of the Court’s approval. The bombshell letter to Chancellor McCormick reveals TPG has paid over $56 MILLION to Pincus, his counsel, and advisors, yet he still holds $4.1 MILLION in escrowed shareholder funds from a 2018 sale, refusing to tap it for his fees. Instead, he’s allegedly churning "unnecessary work" to keep the billing carousel spinning—endless fees with no off-ramp. TPG says they’re stuck in a Catch-22: pay inflated invoices blindly or challenge them and face more custodial billing to defend Pincus’s contempt motions. The Court’s stance? Pay up or keep bleeding cash—TPG can’t even appeal until all payments are settled. In a desperate bid to end this, TPG brought a blank check to court with Mr. Dershowitz(TPG Attorney), who was ready to pay outstanding Chancery fees at once, but the cycle persists. FEDERAL ALLEGATIONS PILE ON: Pincus faked higher bids to inflate the sale price—proof in his own handwriting. Now, TPG demands an end to Pincus’s abuse once and for all, pleading for the Court to stop this judicial quicksand. They SLAM the escrow fiasco, writing, "Holding millions of dollars in limbo serves no legitimate purpose and creates an impression of punishment outside the purview of this Court." TPG offers to settle Chancery fees and cap appeal costs, begging for a Final Order to break free, while insisting the Federal case belongs in Federal court. Summary: A decade-long battle with the courts has cost TransPerfect a fortune while they fight to escape Delaware’s legal stranglehold. The decision remains to Head Chancellor Kathaleen McCormick
