Leases aren’t just rent streams. They’re legal instruments that have to be financeable, assignable, and recordable if you want clean exits and refis. Want a simple pre‑signing lease checklist? Reply “checklist” and I’ll share the framework.

SNDA, subordination & recordables If SNDA, subrogation, CCRs, or CCR restrictions don’t match your capital stack, title and lenders can stall or kill a closing. Fix: standardize language across leases and coordinate early with counsel, title, and lender.

Assignment / change‑of‑control traps Over‑tight rights scare off buyers of the business; over‑loose rights make landlords/lenders nervous about who ends up in the space. Fix: set clear consent standards (financials, guarantees, extra security) before you need a deal approved.

Hidden termination / “go dark” rights If a tenant can walk or go dark too easily, lenders and buyers underwrite your “10‑year” lease like it’s 90 days. Fix: tighten triggers, add real notice periods, and align penalties with the actual damage.

@EricLDaugh Lol no. 🙄 Newsom doesn’t “redistrict” anything — CA maps are drawn by an independent citizens commission. Also: coloring empty land red ≠ votes. People vote, not cows. 🐄🗳️ California hasn’t been close to flipping red in decades. Nice try tho.

It’s crazy to me that the NAR lawsuit/settlement has people up in arms. We’ve operated this way in commercial for ever. It’s simple cooperating brokers make arrangements under a separate agreement per transaction for the parties to be paid.
