Noel also submitted a legal opinion from former Chief Justice of India D Y Chandrachud. The key point The Trusts own about 66% of the shares, but that doesn't give them 66% of the board's votes. Their power comes from special rights in the Articles. When their own two nominees disagree, that power is contested. What happens next The reappointment and the listing decision are expected to go to the shareholders' meeting. Chandrasekaran's directorship also needs renewal at the AGM. He must stay a director to remain chairman. The Trusts' trustees may not be united either. I haven't seen reporting on how they will vote. A court fight is possible. The Trusts are reported to be considering legal action, but I haven't seen confirmation that any case has been filed. Why it matters It tests who really controls a $100B+ group. It follows Cyrus Mistry's 2016 removal and the court battle that ended in 2021. Noel Tata is married to Aloo Mistry, Pallonji Mistry's daughter. The SP Group has long wanted an exit from its stake, and listing would help it. Nothing here is settled. The fight is over how the Articles are read.
