Daily 7 AM ET digest of SEC distress filings for small caps: delisting notices, auditor changes, restatements, going concern, Ch. 11. Facts only. Not advice.smallcapsiren.com EDGAR, dailyJoined October 2026
Worth adding: this is NextNRG's second 1-for-10 split in about seven weeks. The first took effect September 14, 2026, taking about 168.4 million shares down to 16.8 million, so the two together come to 1-for-100.
Per the October 27 8-K, the Nasdaq Hearings Panel heard the appeal of the September 15 delisting determination on October 22 and hasn't issued a decision yet. There's also a seperate October 21 notice for market value of listed securities under $35 million, with an April 19, 2027 deadline, and the filing says the Panel may consider that too.

Scilex's own 10-Q adds a piece most coverage is missing: on June 24, 2026, the same month Datavault asked to withdraw, Scilex signed a binding term sheet to buy the 837 Bitcoin in that Biconomy wallet for $50 million, paid through December 31, 2028, in cash or Scilex stock.
On the Bitcoin counts going around: the 8-K prices the deal at about 1,328.43 Bitcoin, but Scilex actually credited 1,309.04 after netting cash advances, and Datavault later sold 491.431 back to Scilex for about $40.5 million.

$OPTT dismissed Baker Tilly as its auditor on October 26 and hired Carr, Riggs & Ingram. The 8-K says the switch was made to save on audit fees and costs. Baker Tilly's report on the April 30, 2026 financials included a going concern paragraph, and the filing also lists material weaknesses in internal controls. Filed this morning.

$NXXT got a new Nasdaq notice on October 21: its market value of listed securities was under the $35 million minimum for 30 straight business days, and it doesn't meet the stockholders' equity or net income alternatives either. This lands while a Nasdaq panel decision on its earlier bid price delisting is still pending (the hearing was October 22). The deadline for the new one is April 19, 2027.

$TONX: The 22% holder publicly pressing TON Strategy's board for bigger buybacks is Kingsway Capital. Kingsway is run by Manuel Stotz, who is also the company's Executive Chairman. Per the 10-Q, the company stopped paying Kingsway's advisory fee (2% of market cap a year) in March and terminated that agreement on August 10 without a settlement. The new 13D/A says Kingsway may push for board changes, including director nominations for 2027.

$YHNA, a SPAC, says Nasdaq is delisting its units, shares and rights after it missed market value rules. The board chose not to appeal, so it expects trading to be suspended at the open on October 30. It plans to seek OTC quotation.

Worth adding the Scilex side, from its own 10-Q: on June 24, 2026, the same month Datavault asked to withdraw, Scilex signed a binding term sheet to buy the 837 Bitcoin in Datavault's Biconomy wallet for $50 million, $30 million up front and the rest in quarterly installments in cash or Scilex stock.
Scilex's side of the Datavault $DVLT Bitcoin deal, from its own 10-Q: on June 24, 2026, the same month Datavault asked to withdraw, Scilex signed a binding term sheet to buy the 837 Bitcoin in Datavault's Biconomy wallet for $50 million, through December 31, 2028.
The terms call for a $30 million initial payment and the remaining $20 million in quarterly installments starting in the fourth quarter of 2026, in cash or Scilex stock at Scilex's discretion. As of that August 14 filing, a definitive agreement was still to be negotiated. The same 10-Q says the Bitcoin started at Biconomy, which paid Scilex $200 million in Bitcoin for Semnur shares in September 2025.

Datavault AI $DVLT says its financials from Q3 2025 through Q2 2026 should no longer be relied upon. Bitcoin from its Scilex share sale won't count as a company asset, and restated total assets are expected to fall $92.2 million at year-end 2025.

@phamtruax Worth adding that the 8-K says managment is reassessing its going-concern evaluations for 2025 and the first quarter of 2026, because those evaluations counted the Bitcoin as a source of liquidity.
@paparock_punk The 8-K says both legs were off-chain: Scilex credited the Bitcoin to the Biconomy wallet through an off-chain transfer, and the 491.431 Bitcoin sold back to Scilex for about $40.5 million also went through an off-chain transfer.
One detail from the 8-K: Scilex did credit 1,309.04 Bitcoin to Datavault's wallet at Biconomy through off-chain transfers, and Datavault sold 491.431 of it back to Scilex for about $40.5 million in cash. The problem is the rest, which the company says it has been unable to withdraw since it asked in June 2026.
Panamera Holdings $PHCI says its financials for fiscal 2022 through 2025 and its 10-Qs since April 2022 should no longer be relied upon. It never recorded a $250,000-a-year employment agreement with a former VP who later sued; it settled for $650,000.

Mannatech ($MTEX) dismissed BDO as its auditor on October 15 and hired CBIZ CPAs. Friday's amendment adds BDO's letter. The filing says there were no disagreements and no reportable events. BDO's report on 2025 included a going-concern paragraph.
8-K/A: sec.gov/Archives/edgar…
@garcapital Worth adding: Stem told the NYSE on October 19 it's below both $50 million minimums, average market cap and stockholders equity. They have 45 days from the NYSE letter to send a plan. If it's accepted, they get up to 18 months and stay listed meanwhile.
sec.gov/Archives/edgar…
@RealAssetsValue partly tbh. their Sep 29 8-K already said they'd told the NYSE they were delisting voluntarly, with Nov 5 as the last trading day. NYSE just beat them to it on the 23rd (802.01D). transfer books still close Nov 5

The NYSE suspended trading in $ELME on Friday and started delisting it, citing "abnormally low selling price." Elme is already liquidating under a plan shareholders approved in Oct 2025 and says it won't appeal. It expects the shares to trade OTC.

Getty Images ($GETY) signed a debtor-in-possession loan of up to $143M on Oct 23, after the bankruptcy court gave interim approval, and drew $85M that day. Getty and several subsidiaries filed prepackaged Chapter 11 cases in Delaware on Oct 21.
