Spot on. Many overthink this issue. Can gift IBM shares, but IBM shares are still securities. Give away free play before completing an arcade, that’s not likely a security. It might be a security, though, if sold as an investment (i.e., you can flip free play for profits).

I agree with your observation. I bought ETH back then because I wanted to tinker with smart contracts. I don’t think I was alone in that regard. It may still have been a technical violation, but the circumstances surrounding that sale were nothing like most of the ICOs today.

In context of investing v. speculating, he equates speculating on inputs to investing. Most speculate on ETH, not invest. Regardless, making people, incl. devs, buy ETH from a broker-dealer is silly. What if a bway producer pre-sells tix to investors to fund play? Can TKTS sell?

It must be under certain circumstances. To hold that sales of tokens, which no longer meet the Howey test, are nevertheless a security because their origin arises from one would be contrary to decades of precedent applying substance over form to determine if an invest K exists.

During 2000's in Miami, pre-construction contracts for condo-hotels, like all MIA dirt, were highly liquid . SEC guidance stated (i) promoting profits, and (ii) pooling overnight stay revenue was likely a security. It was the contract, however, not the unit that was a security.

The tokens issued pursuant to the SAFT should stand or fall based on their nature. The same goes for any created as part of a hard fork. Designating tokens, which do not otherwise meet test, as securities solely because a SAFT was previously used, serves no public policy.

1/2 I think you'd have to make a couple assumptions. First, that the promoters benefitted from issuing the new tokens. Maybe in the general sense in that it was good for the network, but not from raising money. The promoters had the money.

In Florida (assuming in many others), they can compete with public schools via home schooling option. Public (and private) schools, however, serve as child care for most families. Not sure how you eliminate bricks and mortar.
