@just_some_dev Fair catch, SAFEs change the math. If you're raising on them, your C corp call holds up. The 8832 route is more for an LLC owner who only wants the corporate tax treatment and isn't raising money.
Operating in a state without registering your LLC there? Every state limits your right to sue in its courts until you register. Many also fine you. California and Ohio stack extra penalties on top.
@_Hyades95 Some relief on the name hunt: the state only checks it against businesses already on its own records. Search that state's business database before January, and if you land on a good one, a lot of states let you reserve it ahead of time for a fee.
@Holydevineshine@elonmusk Congrats on launching. One Arizona step that sneaks up on new LLC owners: within 60 days of approval you have to publish a notice of your articles in a local paper, three times in a row. If your statutory agent's address is in Maricopa or Pima County, you're exempt.
@mattmerrick16 Before you file: form it in the state you live in. A Wyoming or Delaware LLC run from your desk at home usually has to register in your home state as a foreign LLC anyway, so you end up paying two states to sell one puzzle game.
Miss your LLC's annual report long enough and the state can escalate: late fees, loss of good standing, even administrative dissolution. What you get depends on the state. The cure window is not infinite.
@itsnadora No bank tips from me, the founders here have fought that fight better. One Wyoming date worth saving now: the annual report is due the first day of your formation month each year. If it's approved this month, the first one is due October 1, 2027. Easy to miss from abroad.
@ArgileNoland Worth a quick check. A registered agent's main job is receiving legal papers and state notices for you. Report filing is an add-on some plans include and some don't. If yours says it files the Texas PIR, you're set. If it only sends reminders, that one's still on you.
Texas LLC with no franchise tax due? The Public Information Report is still due every year. Below the $2.65M no-tax-due threshold, it's the only franchise tax filing you make.
@spicyeddie Congrats on filing. Nice perk of Ohio: LLCs there don't file annual reports at all. So if a letter shows up after approval asking you to pay for one, it's a private company fishing for a fee and you can toss it. Main upkeep is keeping your statutory agent info current.
@DreamBiggerLLC Worth adding that the paying doesn't stop after formation. A Tennessee LLC, for example, files an annual report with a state fee of at least $300 every year, moonlighting shifts or not. So whatever problem it solves should be worth a few hundred dollars a year.
@Replit@stripe@atlas Day one, handled. The years after still need a human: a Delaware LLC owes a $400 annual tax by June 1 every year, and paying late adds a $200 penalty. Might be worth teaching the agent to set a calendar reminder too.
@JonLuskin Seconding this. Sometimes the LLC is the bill. Nevada, famous for no state income tax, still bills a typical LLC $150 for its annual list plus $200 for a state business license. That's $350 a year, profit or no profit. Form one for liability, not for a write-off daydream.
@cleanwithmike Small footnote on that last bullet: the registered agent can be you. Live in the state, have a street address you're at during business hours, and it costs $0. The catch is that address goes on the state filing, which is why a lot of home-based owners pay someone instead.
@akoskm The app migration is the loud part. The quiet part is the state: closing the LLC means filing dissolution or cancellation papers, not just going silent. In some states the annual tax keeps coming until that's on file, even for apps making $0. Footwork, part two.
States that charge a daily penalty for an LLC operating there unregistered:
Kentucky: $2/day, no cap
Montana: $5/day (max $1K/yr)
North Carolina: $10/day (max $1K/yr)
Vermont: $50/day (max $10K/yr)
@Asassycat1@Navid_Tasnim0 Good luck today. One Oklahoma quirk to calendar: the LLC owes a $25 Annual Certificate every year on its formation date. It's called a certificate, not a report, so people miss it, and after a 60-day grace period the LLC falls out of good standing.
@Navid_Tasnim0 Form it this week, sure. Just know it bills you back. In Maryland, for one, most LLCs owe a flat $300 annual report every April 15. At today's fee, the 10-year retirement plan includes $3,000 to the state before the AI earns you a cent.
